These rules apply to anyone who buys to resell. The first contact is through the Contact page.
1. Authorized resellers
Reselling Shadow Ink products requires authorization from the manufacturer. The commercial terms for each partner (territory, volumes, prices and time frames) are set in writing, case by case.
Authorization applies to the agreed country or region. Selling outside that territory requires prior authorization.
2. Reseller obligations
- sell only to tattoo professionals and to companies in the industry;
- comply with the health, tax and import regulations of their country, including the registrations and licences required for tattoo inks;
- store the products in a cool, dry place, protected from light;
- not sell products that are expired, have no batch number or have a broken seal;
- keep a record of the batches sold and cooperate in the event of a recall;
- pass on to the customer the information on use, warnings and storage.
3. Brand use
An authorized reseller may use the Shadow Ink, White Shadow® and Black Shadow® trademarks, the logos and the official images only to promote and sell the original products, without altering them.
Resellers may not register the trademark, domain names or profiles that could be confused with the official channels, nor present themselves as the manufacturer.
4. Ban on decanting or rebottling
Decanting, diluting, mixing, rebottling or relabelling the products is prohibited. The ink must reach the professional in its original, sealed bottle, with its label, batch number and expiry date.
Additional labels required by the law of the destination country may be applied, provided they do not cover the batch number, the expiry date or the warnings.
5. Pricing policy
The resale price list is given directly to the partner and is confidential. We may indicate suggested resale prices. The reseller sets their own final price, in compliance with the competition law of their country.
6. Ending the partnership
Either party may end the partnership by giving prior written notice, on the agreed terms.
We may end the partnership immediately if these rules are breached, in particular: selling adulterated, decanted or expired product, misuse of the brand or selling to non-professionals.
Once the partnership ends, use of the brand must stop. Remaining stock may be sold within the agreed period, provided it is within its expiry date.
7. Governing law
Resale and distribution relationships are governed by the laws of the Socialist Republic of Vietnam, with jurisdiction in the city of the company's head office, unless otherwise provided in a written contract between the parties.
